Linked Through Learning

Seller Agreement

Last updated October 10, 2026

Effective date: October 9, 2026

This Seller Agreement covers opening a store and selling resources on Linked Through Learning. It's an agreement between you and Linked Through Learning, LLC ("LTL", "we", "us" or "our"), and it adds to our Terms of Service ("Terms"), which still apply to you as a seller. Words defined in the Terms mean the same here. If this agreement and the Terms conflict on a selling matter, this agreement controls.

You accept this agreement when you open a store. The Terms' sections on our liability (Section 13), your responsibility to us (Section 14) and resolving disputes (Section 15), including binding individual arbitration and the class action and jury waivers, apply to this agreement too.

1. Opening a store

1.1 Who can sell

To open a store you must:

  • be at least 18 years old;
  • have an LTL account in good standing;
  • give us accurate seller details: your legal name, address and phone number, and keep them current; and
  • choose a membership plan and add payout details (Sections 3 and 6).

If you open a store for a business, you confirm you're allowed to agree to this agreement for it. We may ask you to confirm your identity at any time. We may decline any request to open a store, for any reason.

1.2 Your store

Your store's name, logo, banner and profile are public. Choose a store name that isn't misleading, doesn't use someone else's name or trademark without permission, and isn't offensive. You're responsible for everything in your store and everything done in it, including by your store team (Section 10).

2. What you may sell

2.1 Teaching resources only

LTL is for educational resources made for teachers, students, parents and others who teach. We decide, in our sole discretion, what kinds of resources we support, and may refuse, hide or remove any listing at any time, for any reason.

2.2 Your rights in what you sell

You may sell only resources you made yourself, or that include material (such as clip art, fonts, images or text) you have permission or a license to use in a resource for sale. Before publishing each resource, you tell us which of these is true, and we record that.

By publishing a resource, you promise LTL and every buyer that:

  • you own it, or have every right needed to sell it and grant the licenses in Section 5, including the right to use any third-party material in it commercially and under its license terms (with any credits it requires);
  • neither LTL nor any buyer will need anyone else's permission or have to pay royalties to use it as this agreement allows; and
  • it doesn't infringe anyone's copyright, trademark, patent, privacy or publicity rights, or break any law.

2.3 Honest, working listings

  • Be accurate. Titles, descriptions, grades, standards, page counts, previews and images must truthfully show what's in the resource. Don't promise anything it doesn't include.
  • Deliver everything. The files you upload must be complete, open properly and be free of viruses and other harmful code.
  • Say what's needed. List any software or device a buyer needs to use the resource. Buyers must never have to pay for, subscribe to, or create an account with another service to get or use the full resource. The only exception is a free Google account for resources delivered through Google Drive, and your listing must say so.
  • Keep it working. If a resource relies on something hosted elsewhere, such as a Google Drive file or a video link, keep it available and shared correctly for as long as buyers have access. If buyers report a problem, fix it promptly.
  • Previews are samples. Previews (preview files, images and videos) are public. Never put the full resource in a preview.
  • Keep it appropriate. No sexually explicit, hateful or violent material, and nothing unsuitable for the age group the resource is for.
  • No outside links. Don't put links to any other website, including your own, in your listings, previews, files or messages, and don't use them to send buyers anywhere else. The only exceptions are a link a resource needs to work that's added through LTL's own tools, such as a Google Drive file or a video, and the Facebook, Instagram, Pinterest and TikTok links in your store profile.

2.4 Prices

You set your prices, from free up to $10,000, and an optional lower price for extra teacher licenses. You must sell the whole resource you advertise at the price shown, and not charge buyers anything extra to get it. You may not charge more for a resource on LTL than you charge for the same resource anywhere else, including on your own website or another marketplace.

3. Membership plans and fees

3.1 Plans

Every store has a membership plan. Each plan sets the platform fee we keep from each sale (a percentage of the sale price) and any yearly membership fee, and may include extra tools. The current plans, fees and features are shown when you choose a plan and in your store settings, and are part of this agreement. We may also agree a different fee with an individual store.

3.2 Yearly fees and renewal

Paid plans are charged to your saved card when you choose them and renew automatically every year on the same card until you change plans. If a renewal payment fails, we'll try again every 3 days; if it still hasn't gone through after 14 days, your store moves to our free plan.

  • Upgrading to a paid plan starts a new year straight away and charges the full yearly fee.
  • Moving to a cheaper or free plan takes effect at the end of the year you've paid for.
  • Membership fees aren't refundable, including for the rest of a year if you change plans or close your store, except where the law requires.

We'll email you about 30 days before each yearly renewal, with your plan, its price, the renewal date and how to change plans before then.

3.3 Changes to plans and fees

We may change plans, features, platform fees and membership fees at any time. We'll give you at least 30 days' notice by email before a change that raises your fees. A higher membership fee applies from your next renewal. A higher platform fee applies to sales after the change takes effect. If you don't accept a change, you can move to another plan or close your store before it takes effect.

4. Selling and promotions

4.1 Sales and discounts

You may run sales, create promo codes and offer discounts using the tools in your dashboard, within their limits (for example, promo codes of 5% to 50% off for up to 90 days). You pay for every discount you offer: your earnings are worked out on the price the buyer actually paid. Only one discount applies to each resource in an order, the biggest one available. Once a buyer has used a discount you offered, you must honor it.

4.2 Sitewide sales

LTL sometimes runs sitewide sales. Your store joins them only if you turn that on in your settings. If you do, the sitewide discount applies to your resources during the sale and, like your own discounts, comes out of the sale price: your earnings and our platform fee are both worked out on the discounted price the buyer pays.

4.3 Reaching your followers and buyers

  • Notes to Followers can be sent to the members who follow your store, at most once every 7 days.
  • Product updates can be emailed to everyone who owns a resource, to tell them what's changed in it.
  • Newsletter submissions let you suggest resources for us to feature. We decide what we feature.

Use these only for news about your store and resources: no spam, nothing misleading, and nothing promoting sales elsewhere. We may limit or turn off these tools for stores that misuse them.

4.4 Search and placement

We decide, in our sole discretion, how resources are found, ranked and featured in search, browse pages, emails and the home page, and we may change how this works at any time. We don't promise your resources will appear in any particular place, or any level of traffic or sales. If a plan ever gives paid stores a ranking advantage, we'll say so in our Help & FAQ.

5. Your resources, and the licenses you grant

5.1 You keep ownership

You keep all rights in your resources. This agreement doesn't transfer ownership of anything to LTL or to buyers.

5.2 The license you give buyers

Each time a buyer gets your resource, you grant them the license described in the Terms (Section 5): a permanent license for one teacher for each license bought. You can give buyers more rights in your listing, but not fewer. If the license terms in the Terms and anything in your resource or listing conflict, the Terms control.

5.3 The license you give LTL

You give LTL a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable and sublicensable (for example, to our service providers) license to:

  • host, store, copy and back up your resources, previews and store content;
  • deliver your resources to buyers, and show your listings, previews, images, store profile and reviews on LTL;
  • make technical changes needed to do so, such as resizing images, making thumbnails, converting formats, or adding protections against unauthorized copying, without changing your resource's content; and
  • use your store name, logo, listings, previews and images to promote your resources and LTL, on the site, in emails, on social media and in ads.

If you remove a resource from LTL, we'll stop new promotional use of it within a reasonable time, but we don't have to remove promotions already made or sent, and we may keep and deliver it to buyers who already have it (Section 11.3).

6. Getting paid

6.1 Your earnings

For each sale, your earnings are the price the buyer paid for your resource, after any discount, minus our platform fee. Sales tax is never part of the sale price or your earnings. You can see each sale, its fee and your earnings in your Sales report.

6.2 When and how we pay you

  • Changes: we may change the hold period, schedule, minimum, payout methods and their fees at any time.
  • Hold period: earnings become available to pay out after a hold period we set, to allow time for refunds and chargebacks. It's currently 14 days after the sale, and your Payouts page shows the current period.
  • Schedule: we pay available earnings on the schedule we set, once your available balance reaches the minimum we set, currently $10, shown on your Payouts page. Smaller balances carry over.
  • Methods: we pay by bank transfer (ACH) or PayPal. Each payout method has a fee, shown when you choose it, which comes out of the payout. Payment providers may charge their own fees too.
  • Your payout details: keep your payout details accurate. We aren't responsible for payouts lost because of details you gave us that were wrong, and payouts returned as undeliverable will be retried once you update them. If we can't pay you because your details are wrong or missing, we'll keep your earnings in your balance. If they stay unclaimed as long as the law sets, we may have to send them to your state as unclaimed property.

6.3 Tax information first

We need a completed Form W-9 (Tax information in your dashboard) before we can pay you. Until you've completed it, your earnings wait in your balance.

6.4 Refunds after you've been paid

If we refund an order, or it's reversed by a chargeback, after you've been paid for it, your earnings from that sale are taken off your next payout, along with any chargeback fee it cost us. If your balance can't cover it, we may take it from future earnings, or you agree to pay it back when we ask.

6.5 When we may hold payouts

We may, in our discretion, hold or delay payouts, or hold back part of your balance, for as long as reasonably needed, including while we look into suspected fraud, a breach of this agreement, a copyright complaint, an unusual number of refunds or chargebacks, or a legal requirement. We may take any amount you owe LTL out of your balance or future earnings. When we've finished, we'll pay out what's owed to you, minus refunds, chargebacks and amounts you owe us.

7. Taxes

7.1 Sales tax

LTL acts as a marketplace facilitator: in places where the law requires us to, or where we choose to, we work out, collect and pay the sales tax on your sales. You authorize us to do this on your behalf, and you don't collect sales tax yourself on sales made through LTL. We may stop collecting in a place where the law doesn't require us to.

You're responsible for any other tax obligations on your sales, including registering or filing in your home state or anywhere else the law still requires it, even where LTL pays the tax. We don't guarantee that our tax calculations are accurate or complete, and LTL isn't responsible for taxes, penalties or interest you owe.

7.2 Your own taxes

You're responsible for your own income and other taxes on your earnings.

7.3 Tax reporting

The law requires us to collect tax information from sellers and report payments to the IRS. When your sales in a calendar year pass the federal reporting threshold (currently $20,000 and 200 transactions), we'll send you, and file, a Form 1099-K. We may share the tax information you give us with the IRS and state tax agencies as required, and with the service we use to file tax forms.

8. Refunds, chargebacks and buyer support

LTL decides refund requests in its sole discretion, under the refund rules in the Terms, and its decisions are final. You bear the cost of refunds on your resources. We may ask you about a request, and you agree to help us resolve buyers' problems with your resources promptly and politely. You can ask us to refund a buyer at any time. If an order is refunded or reversed by a chargeback, you don't earn anything on it (Section 6.4).

9. Reviews, questions and buyer information

9.1 Reviews and questions

  • Don't review your own resources, or ask anyone (including friends, family or your store team) to review them.
  • Don't offer buyers anything in exchange for a review or a better rating, and don't pressure them to change a review.
  • You may reply publicly to reviews and answer questions. Keep replies professional, and don't share a buyer's personal information.
  • If you think a review breaks our rules, report it. Only LTL can remove reviews.

9.2 Buyer information

You'll see some information about your buyers, such as their names, what they bought and when they last downloaded it. Use it only to support those buyers and run your store on LTL. Don't add buyers to your own mailing lists, contact them outside LTL about sales, sell or share their information, or use it for anything else, unless they've separately and clearly agreed. Follow the privacy laws that apply to you.

9.3 Tracking tools in your store

If you add a tracking tool to your store, such as a Facebook (Meta) Pixel, you're responsible for it. You must follow the provider's terms and the privacy laws that apply, including any notice or consent they require. We may turn off any tracking tool, at any time. You'll cover any claim, fine or cost that comes from your tracking tool, as Section 12 describes.

10. Your store team

You can invite people to help run your store as assistants. Assistants need their own LTL account and must accept the Terms. They can manage your products, files, listings, categories, questions and messages, but can't see your account settings, team, earnings, payouts, tax information, sales reports, statistics or promotions.

  • You're responsible for everything your assistants do in your store, as if you did it yourself, including mistakes, deleted resources and any breach of our rules.
  • Any arrangement between you and your assistants, such as pay or confidentiality, is between you and them. LTL doesn't find, check or pay assistants, and isn't responsible for what they do.
  • You can pause or remove an assistant at any time. We may remove an assistant who breaks our rules.

11. Suspending or closing your store

11.1 If we suspend or close your store

We may, in our discretion, hide resources, limit your store's tools, suspend your store or close it, at any time and for any reason, with or without notice. For example, we may do so if you break this agreement or the Terms, if we receive a copyright complaint about your resources (repeat infringers' stores are closed), if we believe your store is being used for fraud or puts buyers or LTL at risk, or if the law requires it. We may, but don't have to, tell you why or give you a chance to fix the problem.

11.2 If you close your store

You can ask us to close your store at any time by contacting us. We'll close it once any open refunds, chargebacks and payouts are dealt with. Closing it doesn't refund membership fees.

11.3 What happens next

When a store closes:

  • its resources are removed from search and the store page, and can't be bought;
  • buyers who already have your resources may keep access to them, and we may keep the files needed to provide that access, but we don't have to;
  • after the hold period, we pay out your remaining earnings, minus refunds, chargebacks and anything you owe us, once your tax and payout details are complete. If your store was closed for fraud or a serious breach, we may hold back amounts needed to cover refunds, chargebacks, claims and our losses, and keep them where the law allows; and
  • the parts of this agreement that should continue, such as the licenses you've granted, your promises about your resources, and Section 12, continue.

12. Your responsibility to us

In addition to the Terms, you agree to defend, indemnify and hold harmless LTL and our owners, officers, employees, agents and affiliates from all claims, losses, damages, fines, taxes, penalties and costs (including reasonable lawyers' fees) arising from your resources, your listings, your use of our import tools and anything you import with them, your store team, your tracking tools, your taxes, or your breaking this agreement or anyone's rights, as Section 14 of the Terms describes.

12.1 Our liability to sellers

The limits on our liability in Section 13 of the Terms apply to you as a seller. In particular, LTL won't be liable for lost sales, earnings or opportunities, including from outages, search or placement changes, removed listings, or a suspended or closed store.

13. Copyright complaints about your resources

If we receive a copyright notice about one of your resources, we may remove or disable it and tell you. You can send a counter-notice if you believe it was removed by mistake. Our Copyright Policy explains how this works. We close the stores of repeat infringers.

14. Changes to this agreement

We may update this agreement at any time. We'll try to tell you by email at least 30 days before a significant change takes effect, and may ask you to agree to the new version. If you don't agree, you can close your store before the change takes effect. Fee changes follow Section 3.3.
